Terms of Use

We provide software that reads business documents and records accounting entries, together with related reports and estimates. Access to a product may be governed by a separate written agreement or order form; where that agreement conflicts with these terms, that agreement prevails.

Our products are in active development. Features may change, and a feature available today may be modified or withdrawn. Where a change materially reduces functionality you are paying for, we will give you notice.

This is the most important thing on this page. Our software produces bookkeeping entries, tax and GST estimates, and reports. That output is not accounting, tax, legal or financial advice, and using it does not create a professional-client relationship between you and us.

Estimates are estimates. Tax rates, thresholds and filing rules change, and the correct treatment of a transaction often depends on facts the software does not have. You remain responsible for reviewing what the software produces, for the accuracy of your books and filings, and for engaging a qualified chartered accountant, CPA or tax professional where your circumstances require one. Nothing in the product removes an obligation you owe to a tax authority or a regulator.

You are responsible for keeping your credentials secure and for activity under your account. Tell us promptly if you believe an account has been compromised.

You keep ownership of the documents and records you upload. You grant us the limited right to store and process them in order to provide the service. You confirm you have the right to upload what you upload, including any personal data about third parties it contains. How we handle personal data is set out in our Privacy Policy.

Do not use the service to break the law, to record transactions you know to be false, to conceal or misrepresent financial activity, or to infringe someone else’s rights. Do not attempt to gain unauthorised access to our systems, interfere with their operation, scrape them at scale, or reverse-engineer them except to the extent that restriction is unenforceable under applicable law.

Where a product is paid, fees, billing period and taxes are as set out at the point of purchase or in your order form. Unless stated otherwise, fees are exclusive of GST and other applicable taxes, and payments are non-refundable except where required by law. We may change pricing with notice for the following billing period.

We aim to keep the service available but do not guarantee uninterrupted operation. We may suspend access for maintenance, or where we reasonably believe continued access poses a security or legal risk. Any service-level commitment applies only if it is written into a separate agreement with you.

The site, the software, and the Astryan Labs and Sumly names and marks belong to us or our licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the service, and nothing more.

The service depends on third parties, including cloud hosting and model providers. We are not responsible for their acts or omissions, and their outages may affect availability.

To the fullest extent permitted by law, the service is provided “as is”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that output will be accurate, complete or suitable for your circumstances.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the service is limited to the greater of the fees you paid us in the twelve months before the event giving rise to the claim, or ₹10,000. Nothing here limits liability that cannot be limited by law, including for fraud.

You will indemnify us against claims arising from your use of the service in breach of these terms or of applicable law, or from content you upload that you did not have the right to upload.

You may stop using the service at any time. We may suspend or terminate access if you materially breach these terms, or if we are required to by law. On termination you may export your data for a reasonable period, after which we may delete it subject to retention obligations described in the Privacy Policy.

These terms are governed by the laws of India. The courts at Bangalore, Karnataka have exclusive jurisdiction over any dispute arising out of them.

We may update these terms. The date at the top of this page shows when they last changed, and continued use after a change means you accept the updated terms.
